These Terms of Service govern your access to and use of the CIRA Plus platform and the websites we build, host, and manage on your behalf. By using our platform you agree to these terms. If you do not agree, do not use the service.

Terms of Service

Effective Date: May 7, 2026

These Terms of Service ("Terms") govern your access to and use of the CIRA Plus platform and related services (collectively, the "Service") provided by CIRA Plus, S.A., a company organized under the laws of the Republic of Panama with principal place of business in Panama City, Republic of Panama ("CIRA Plus," "we," "us," or "our").

1. Acceptance of Terms

By accessing, registering for, or using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms, as well as our Privacy Policy, which is incorporated herein by reference. If you are entering into these Terms on behalf of a company, organization, or other legal entity, you represent and warrant that you have the authority to bind that entity to these Terms, and references to "you" or "your" shall refer to both you as an individual and that entity.

If you do not agree to these Terms in their entirety, you may not access or use the Service. We reserve the right to modify these Terms at any time in accordance with Section 13 below. Your continued use of the Service following any changes constitutes acceptance of those changes.

2. Service Description

CIRA Plus operates an AI-powered web agency platform accessible at https://web.ciraplus.com that enables users to create, design, manage, and deploy web presence solutions using artificial intelligence technology. The Service includes, but is not limited to:

  • AI-assisted website and web application design and generation tools
  • Content management and hosting infrastructure
  • Analytics and performance monitoring features
  • Collaboration and project management capabilities
  • Integration with third-party services and tools
  • Customer support and documentation resources

The specific features and capabilities available to you depend on your subscription plan. We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time, with or without notice, though we will use commercially reasonable efforts to provide advance notice of material changes that negatively impact functionality.

The Service relies on third-party processors and infrastructure providers, including but not limited to Vercel Inc. (United States/European Union), Supabase Inc. via Amazon Web Services US-East region, Resend Inc. (United States), Zoho Corporation (India/European Union), Cloudflare Inc. (global network), Anthropic PBC (United States/European Union), OpenAI L.L.C. (United States), and Upstash Inc. via Amazon Web Services US-East region. Service availability and performance may be affected by these third-party dependencies.

3. Account Eligibility and Registration

To use the Service, you must be at least eighteen (18) years of age and possess the legal capacity to enter into a binding contract under the laws of your jurisdiction. By creating an account, you represent and warrant that you meet these eligibility requirements.

During registration, you agree to provide accurate, current, and complete information and to maintain and promptly update this information to keep it accurate, current, and complete. You are solely responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to immediately notify us of any unauthorized use of your account or any other breach of security at ar@ciraplus.com.

We reserve the right to refuse service, terminate accounts, or remove or edit content in our sole discretion, including if we reasonably believe that your conduct violates applicable law or is harmful to the interests of CIRA Plus, other users, or third parties.

4. Subscription, Billing, and Payment Terms

4.1 Subscription Plans

The Service is offered through various subscription plans with different features, capabilities, and pricing. Current plan details are available on our website. You may upgrade or downgrade your subscription plan at any time, with changes taking effect at the start of the next billing cycle unless otherwise specified.

4.2 Billing and Payment

Subscription fees are billed in advance on a recurring basis (monthly, annually, or as otherwise specified in your plan) through our billing processor, Zoho Billing. You authorize us to charge your designated payment method for all fees incurred under your account. All fees are non-refundable except as expressly provided in these Terms or required by applicable law.

If payment is not successfully processed for any reason, we may suspend or restrict access to your account until payment is received. You are responsible for providing current, complete, and accurate billing and payment information and for maintaining such information throughout the term of your subscription.

4.3 Automatic Renewal

Your subscription will automatically renew at the end of each billing period at the then-current price for your subscription plan unless you cancel prior to the renewal date. We will make reasonable efforts to notify you in advance of automatic renewal, but it is your responsibility to track your subscription period and cancel if you do not wish to continue.

4.4 Cancellation

You may cancel your subscription at any time by providing at least thirty (30) days' advance written notice to ar@ciraplus.com or through the account management interface if that functionality is available. Cancellation will take effect at the end of your then-current billing period. You will continue to have access to the Service through the end of the paid period, but no refund will be provided for any unused portion of your subscription unless required by applicable law.

We may cancel or suspend your subscription immediately if you breach these Terms, fail to pay applicable fees, or if we cease offering the Service generally. In the event we cancel your subscription for reasons other than your breach of these Terms, we will provide a pro-rated refund for any prepaid, unused fees.

4.5 Price Changes

We reserve the right to modify our pricing at any time. Price changes will not affect your current billing period and will take effect upon your next renewal. We will provide you with at least thirty (30) days' advance notice of any price increase.

5. AI Services and Generated Content

The Service incorporates artificial intelligence and machine learning technologies to assist in creating, generating, and optimizing web content and designs. You acknowledge and agree that:

  • Tool, Not Advisor: AI-generated content and suggestions are provided as a tool to assist you and should not be construed as professional advice of any kind, including legal, financial, medical, or technical advice. You are solely responsible for reviewing, evaluating, and verifying all AI-generated output before use.
  • No Guarantee of Accuracy: While we strive to provide high-quality AI outputs, we make no representations or warranties regarding the accuracy, completeness, reliability, or suitability of AI-generated content for any particular purpose.
  • Your Ownership: As between you and CIRA Plus, you retain all ownership rights in content you create using the Service, including content generated with AI assistance, subject to the license you grant us in Section 6 below.
  • No Third-Party Training: Customer content and data processed through our Service is never used to train third-party AI models operated by Anthropic, OpenAI, or other AI service providers. We have contractual arrangements in place with our AI providers to prevent such usage.
  • Your Responsibility: You are solely responsible for ensuring that your use of AI-generated content complies with all applicable laws, regulations, and third-party rights, including intellectual property rights, privacy laws, and industry-specific regulations.

6. Content Ownership and License

6.1 Your Content Ownership

You retain all ownership rights in and to the content you create, upload, submit, or otherwise make available through the Service ("Customer Content"). This includes text, images, designs, code, data, and any other materials, whether created manually or with AI assistance.

6.2 License to CIRA Plus

To enable us to provide the Service, you grant CIRA Plus a worldwide, non-exclusive, royalty-free, transferable, sublicensable license to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, perform, and display your Customer Content solely for the purposes of:

  • Operating, providing, maintaining, and improving the Service
  • Hosting, storing, and rendering your content as necessary to deliver the Service
  • Creating backups and ensuring data redundancy and security
  • Complying with applicable laws and legal processes

This license terminates when you delete your Customer Content from the Service or upon termination of your account, except that we may retain copies as necessary for backup, legal compliance, or dispute resolution purposes in accordance with our data retention policies described in our Privacy Policy.

6.3 Content Responsibility

You represent and warrant that you have all necessary rights, licenses, consents, and permissions to submit your Customer Content to the Service and to grant the license described above, and that your Customer Content does not and will not infringe, violate, or misappropriate any third-party intellectual property, privacy, publicity, or other rights.

7. Acceptable Use Policy

You agree to use the Service only for lawful purposes and in accordance with these Terms. Specifically, you agree not to:

  • Illegal Content or Activity: Use the Service to create, upload, transmit, or distribute any content that is illegal, harmful, threatening, abusive, harassing, defamatory, vulgar, obscene, or otherwise objectionable under applicable law
  • Intellectual Property Infringement: Violate, infringe, or misappropriate the intellectual property rights, privacy rights, or other rights of CIRA Plus or any third party
  • Malicious Use: Upload or distribute viruses, malware, or any other technologies that may harm the Service, our infrastructure, or other users
  • Unauthorized Access: Attempt to gain unauthorized access to the Service, other user accounts, or computer systems or networks connected to the Service through hacking, password mining, or any other means
  • Service Abuse: Interfere with or disrupt the integrity or performance of the Service or attempt to circumvent any security measures or access controls
  • Scraping and Automation: Use any automated means, including robots, crawlers, or scrapers, to access or collect data from the Service without our express written permission
  • Unauthorized Resale: Resell, sublicense, or provide access to the Service to third parties without a formal partnership or reseller agreement with CIRA Plus
  • Impersonation: Impersonate any person or entity or falsely state or otherwise misrepresent your affiliation with any person or entity
  • Resource Abuse: Use the Service in any manner that could disable, overburden, or impair our servers or networks, or interfere with any other party's use and enjoyment of the Service

We reserve the right to investigate and take appropriate action against anyone who violates this policy, including removing content, suspending or terminating accounts, and reporting violations to law enforcement authorities.

8. Intellectual Property Rights in the Platform

As between you and CIRA Plus, CIRA Plus owns all right, title, and interest in and to the Service, including all software, technology, designs, trademarks, service marks, trade names, logos, and other intellectual property embodied in or associated with the Service (collectively, "Platform IP"). These Terms do not grant you any ownership rights in the Platform IP.

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Service during the term of your subscription solely for your internal business purposes. This license does not include any right to: (a) modify, reverse engineer, decompile, or disassemble the Service or any component thereof; (b) create derivative works based on the Service; (c) copy, frame, or mirror any portion of the Service; or (d) access the Service to build a competitive product or service.

If you provide us with feedback, suggestions, or ideas about the Service ("Feedback"), you grant CIRA Plus a perpetual, irrevocable, worldwide, royalty-free license to use, incorporate, and otherwise exploit such Feedback for any purpose without compensation or attribution to you.

9. Service Availability and Uptime

We strive to provide reliable and continuous access to the Service. For subscribers on Pro and higher-tier plans, we target a service availability of ninety-nine point five percent (99.5%) uptime, calculated on a monthly basis and excluding scheduled maintenance windows announced with reasonable advance notice.

For subscribers on lower-tier plans, including free and basic tiers, service availability is provided on a best-effort basis without specific uptime guarantees.

Service availability targets do not include downtime resulting from:

  • Scheduled maintenance performed with reasonable advance notice
  • Circumstances beyond our reasonable control, including force majeure events, internet service provider failures, or third-party service disruptions
  • Failures or performance issues with third-party infrastructure providers, including but not limited to Vercel, Supabase, AWS, Cloudflare, Anthropic, OpenAI, Resend, Zoho, or Upstash
  • Issues caused by your equipment, network, or use of the Service in violation of these Terms
  • Suspension or termination of your access due to breach of these Terms

We expressly disclaim any liability for service interruptions, data loss, or any other damages resulting from downtime or unavailability of upstream services or infrastructure beyond our direct control. You acknowledge that the Service depends on third-party providers and that such dependencies create inherent risks that we cannot eliminate.

In the event of significant service disruptions attributable to our infrastructure and affecting Pro-tier subscribers, we will use commercially reasonable efforts to provide service credits or other remedies as appropriate, which shall be your sole remedy for any failure to meet availability targets.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL CIRA PLUS, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR SUPPLIERS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION DAMAGES FOR LOST PROFITS, LOST REVENUE, LOST SAVINGS, LOSS OF DATA, REPLACEMENT COSTS, OR SIMILAR DAMAGES, WHETHER BASED IN CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR OTHERWISE, ARISING OUT OF YOUR USE OF OR INABILITY TO USE THE SERVICE, EVEN IF CIRA PLUS HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE EXTENT LIABILITY CANNOT BE EXCLUDED, CIRA PLUS'S TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE TOTAL AMOUNT OF FEES PAID BY YOU TO CIRA PLUS DURING THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF INCIDENTAL OR CONSEQUENTIAL DAMAGES, SO THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU. IN SUCH CASES, OUR LIABILITY WILL BE LIMITED TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW.

The limitations in this section apply to all claims, whether based on warranty, contract, tort, or any other legal theory, and whether or not CIRA Plus has been informed of the possibility of such damage, and further where a remedy set forth her
